In a landmark move that reshapes the global television landscape, European production titan Banijay Group has announced a merger with UK super-indie All3Media, creating a colossal €4.4 billion (£3.8 billion) television production powerhouse. This union establishes the world's largest independent TV maker, combining an enviable portfolio of iconic shows from both sides of the Channel.
A Strategic Power Play in Global Entertainment
The deal, which sees Paris-headquartered Banijay merge with the British producer behind cultural phenomena like The Traitors and Fleabag, is framed as a decisive strategic step. François Riahi, the Chief Executive of Banijay Group, emphasized the move's significance, stating it reinforces the company's leading position and demonstrates its role in driving industry consolidation. The new entity will operate under the Banijay name, consolidating earnings into the Amsterdam-listed group.
Financial Structure and Leadership
Under the agreement, Banijay and RedBird IMI—the owner of All3Media—will become equal partners in the merged group. However, Banijay will receive a substantial €796 million payment, reflecting its larger scale prior to the merger. RedBird IMI, a joint venture majority-backed by the United Arab Emirates with US-based Redbird Capital, had acquired All3Media for £1.15 billion in 2024.
Leadership of the new television giant will see Marco Bassetti, currently CEO of Banijay Entertainment, ascend to the role of Chief Executive. Jane Turton, the esteemed CEO of All3Media, will serve as Deputy Chief Executive. The chairmanship will be assumed by Jeff Zucker, the former CNN boss who leads RedBird IMI. Zucker expressed that the merger fulfills a three-year vision to create a world-class, diversified entertainment company with global reach.
Unrivaled Portfolio of Hit Programming
The merger amalgamates two of television's most successful catalogs, creating an unparalleled content library. The new Banijay will boast a formidable array of hit shows, effectively blending Banijay staples with All3Media classics.
Banijay's contribution includes global franchises such as:
- MasterChef
- Survivor
- Pointless
- Hunted
- Location, Location, Location
All3Media brings acclaimed British hits to the table, including:
- The Traitors
- Midsomer Murders
- Fleabag
- Call the Midwife
- Great British Menu
- Race Across the World
Operational Synergies and Market Impact
The combined entity is projected to generate revenues of €4.4 billion and adjusted profits of €690 million, based on 2024 business performance. Furthermore, significant cost synergies of €50 million are anticipated within the first year of the deal's closure, enhancing operational efficiency and profitability.
This merger follows Banijay's previous strategic considerations, including a potential takeover bid for ITV's studio operation last year. It positions the new Banijay as a dominant force capable of offering a 'world class' offering across live events, scripted, and unscripted programming on a global scale, fundamentally altering competitive dynamics in the independent television production sector.
